C'est en tout cas l'hypothèse que rapportait le site LightReading, citant l'analyste Craig Moffett, le 9 Septembre dernier, après la baisse de l'action d'Altice USA, à 27.97$ l'action alors, estimant que la valeur de l'entreprise était sous-évaluée, lui l'estimant à 51$. Il estimait donc que Patrick Drahi pourrait être tenté par un un rachat du reste des actions, comme il l'a fait pour Altice Europe. Cette baisse était due à des résultats mitigés au Q2 2021, avec une stagnation du nombre d'abonnés, et des résultats décevants sur le mobile, le nouveau marché ouvert par Altice USA.

Or depuis, avant hier, Dexter Goei a lancé un avertissements sur résultats, annonçant une perte de 20.000 abonnés au Q3. A la suite, l'action a chuté de 12,5%, et encore hier de 5.5% (voir graphique). C'est dans ces circonstances, qu'il y a un an, Altice Europe avait annoncé une sortie de la bourse.

Privatization could be path forward for undervalued Altice USA – analyst

 Despite concerns about flattening broadband subscriber growth that puts it well behind the pace of its peers, Altice USA is an undervalued company that could unlock its hidden value by taking the company private and perhaps selling select assets, such as its rural-focused Suddenlink properties, Craig Moffett, analyst with MoffettNathanson, suggested in report issued Wednesday.

Moffett explored that idea in a lengthy analysis that aims to unravel the value that's tucked away in Altice USA's disparate and complex mix of urban systems (Optimum) in the northeast, scattered rural systems (Suddenlink), and Lightpath, a fiber-focused business service unit that is now largely divvied up between Altice USA and Morgan Stanley Infrastructure Partners (MSIP).

The analyst points out that Altice USA's stock has taken a beating in recent months, down roughly 20% since it reported Q2 2021 results showing stagnant broadband growth. Those results contrsted with strong broadband subscriber gains by publicly traded US operators such as Comcast, Charter Communications and the rural-focused Cable One.

 Moffett reiterated his argument that Altice USA faces a "broadband pricing problem" across the board, and questions whether gains in the rural-focused Suddenlink footprint will make up for any shortcomings in an Optimum footprint that competes against Verizon Fios in several areas. But he also believes that Altice USA, when viewed as the sum-of-its-parts, is still worth far more than what the Street gives it credit for.

"Altice's valuation is simply too cheap, and by a huge margin," Moffett wrote.

Moffett estimates a $51 implied sum-of-the-parts valuation for Altice USA, which compares to the stock's September 7 close of $27.25. The analyst's report appeared to give Altice USA a small jolt, as its stock closed Wednesday at $27.97, up 3%.

"Of course, taking Altice private would require paying a premium, albeit (obviously) only for those shares not already owned," Moffett explained, noting that the potential premium could be in the range of $35 to $45 per share for the remainder of the public float. Fo9llowing this linne of thought, he also outlined a scenario in which Altice USA could sell off Suddenlink and the rest of Lightpath but keep the Optimum (former Cablevision Systems) business with the purchase of the remaining public float.

Even with a premium, Patrick Drahi, Altice USA's billionaire chairman, could end up owning the Optimum piece of the company and its future cash flows nearly debt free, for a fraction of what they are worth, Moffett suggested. Subsequent options, he added, could involve a future sale of those Optimum assets or maybe taking it public… again.

"To be clear, we are not suggesting that going private and then selling Suddenlink is what Altice/Patrick Drahi will do. We're simply illustrating that it is something they could do," Moffett wrote. "There are an infinite number of variations on the theme. The takeaway here is that, even with a meaningful premium, the current valuation is so cheap that it creates enormous optionality."

Among other possible outcomes: "Drahi could conclude that it is more attractive to simply stay the course and retire shares until the remaining float is so small that almost any premium paid to complete the job would be financially immaterial," Moffett noted.

Le COO, Kakim Boubazine, est parti le 9 Septembre dernier, avec effet immédiat, bien qu'il y ait des doutes sur le fait qu'il ait été remercié ou qu'il soit parti de lui-même. Il reste conseiller de Dexter Goei jusqu'à la fin de l'année, et garderait son salaire un an encore. Il a un contrat de non concurrence. Et Dexter Goei a repris les commandes opérationnelles du groupe :

Altice USA abruptly shuffled its top-tier leadership, announcing COO and president of telecommunications Hakim Boubazine has resigned, effective immediately.

The COO’s departure comes after Altice USA posted flat broadband subscriber growth in Q2 2021 at a time when rivals including Comcast and Charter raked in hundreds of thousands of net additions. Its wireless MVNO division also delivered a poor performance in the quarter, adding just 5,000 mobile lines compared to 34,000 in Q2 2020.

What happened

Shares of cable television and broadband service provider Altice USA (NYSE:ATUS) were down by 12.5% near the end of Thursday's trading session after a warning that the company would report a net loss of broadband subscribers for the current quarter.

Il y a un an, en Novembre dernier, après l'échec du rachat du canadien Cogeco, Altice USA avait consacré une partie de somme économisée au rachat pour 2.5 milliards de dollars de ses propres actions, à 32-36$ l'action, ce qui avait fait remonter le cours. Il y a un parallèle frappant avac l'opération de X. Niel, qui avait racheté un gris paquet d'actions à 120 €, alors que le cours précédent était à 80 €, et avait annoncé fin Juillet son retrait de la bourse, après que l'action ait rebaissé.

La filiale américaine d'Altice va investir 2,5 milliards de dollars dans un vaste programme de rachat d'actions portant sur 13 % à 14 % du capital. Après l'échec de son OPA sur le canadien Cogeco, Patrick Drahi profite du faible coût du crédit pour racheter à bon prix ses propres actions. Sans tirer un trait pour autant sur de possibles futures acquisitions dans le câble.

Lundi, Altice USA a annoncé qu'il mettrait 2,5 milliards de dollars sur la table dans le cadre d'un vaste programme de rachat d'actions portant sur 19 % à 22 % du capital en Classe A (et 13 % à 14 % en ajoutant les actions de Classe B). Concrètement, le groupe va proposer aux actionnaires un prix allant de 32,25 dollars à 36 dollars par action. Soit un premium de 0 à 12 % par rapport au cours de clôture du 20 novembre, qui avait atteint 32,27 dollars.

Lors de l'UBS Global TMT Conference le 7 Décembre dernier, Dexter Goei a reparlé d'une possible sortie de la bourse, car pour lui l'entreprise est sous-évaluée. Il a prédit pour 2022 des pertes encore plus importantes d'abonnés au chaines câble au profit des services de streaming (Netflix), ce que l'on appelle le cord cutting, qui touche spécialement Altice USA. Ll'action Altice USA est tombée ces derniers jours à ses plus bas historiques, en dessous de 15$,-56% par rapport à son cours d'introduction en 2017 à 34.30$, malgré le programme de rachat d'actions de 2.5 milliards de dollars lancé il y a un an.

"Going private" aux US, cela veut dire sortir de la bourse, car quand le capital est réparti entre divers actionnaires, on est "public". Le langage n'est pas le même qu'en France...

Altice USA Expects Higher Video Subscriber Losses in 2022

“In general, we’re predicting maybe even higher losses as consumers continue to start to pivot to more OTT-driven viewing habits. High single digits has been the range. This year we’re in that 220,000, 230,000 type subscriber loss on video. We may be higher next year,” CEO Dexter Goei told the UBS Global TMT Conference during a session that was webcast on Tuesday.

Altice USA like the rest of the linear TV industry continues to be impacted by cord-cutting trends, even as it looks to expand its broadband user base amid growing internet usage. That accelerated trend compared to a net loss of about 90,000 video subscribers in the third quarter of 2020. Goei also discussed whether Altice USA will remain a publicly traded company, or go private.

He told the UBS conference that his company’s stock price was under-valued due to a short-term focus by investors as Altice USA lays the groundwork for medium to long term growth. Goei added Altice USA has a “very solid balance sheet” and no material refinancings on the horizon until 2025.

“We have a lot of flexibility as to what we can do with our balance sheet. If the opportunity comes up for a big strategic transaction — whether it’s a self-strategic transaction or something outside of our footprint — that’s something we’ll obviously look at. But that’s not the focus today,” he argued as Altice USA remains occupied on reaching its strategic growth goals.

Altice USA a publié ses résultats du T1 2022 jeudi soir, et vendredi a enfoncé le mur des 10$ l'action, terminant à 9.28$, près des 3/4 en moins depuis son introduction en 2017. Mais la veille, il avait déjà terminé à 9.90$, et même si les résultats ne sont pas glorieux, perte de 13.000 abonnés, la 3eme perte en 3 trimestres consécutifs, revenus, EBITDA et résultat net inférieurs au T1 2021, ils sont quand même supérieurs aux attentes pour certains, donc cela n'explique pas la baisse vendredi. En fait, la baisse a déjà une quinzaine de jours.

Il faut plutôt voir le contexte général, énorme dette de 6x l'EBITDA alors que les taux remontent aux Etats-Unis, avec en même temps un gros investissements pour déployer la fibre sur sa zone qui fait peur à ses actionnaires, qui craignent pour la marge bénéficiaire, pertes d'abonnés et aussi aux services TV (cord-cutting), et donc incertitudes liées avec la guerre en Ukraine.

Il y a eu un article récent du Financial Times le 24 Avril, titrant sur les "mésaventures de Patrick Drahi" aux US, et allant jusqu'à dire qu'Altice USA, en coupant dans les couts, avait sous-investi, dégradant le service et faisant fuir les consommateurs. Il revient aussi sur les rumeurs de sortie de la bourse, mais qui ne serait pas pour tout de suite, selon les propos de Dexter Goei. Il note que le géant du câble américain Charter a un ratio dette/EBITDA de 4.5x, ce qui est déjà considéré comme très lourd, mais donc Altice USA est à 6x.

But five years on, Altice USA’s share price is languishing at less than half its IPO price. Drahi, who owns 48 per cent of the company, is sitting on more than $4bn in paper losses from a collapse in valuation since December 2020, according to data from S&P Capital IQ.

The company has been losing broadband subscribers, rivals have stolen a march on its mobile business and its Franco-Israeli founder’s acquisition strategy in the US has fallen by the wayside. Crucially, investors are not convinced that the company’s biggest bet — an expensive investment in fibre-optic technology — will drive down prices in the long term and attract new customers.

“There isn’t much of an investment thesis in the near term,” according to an investor. “The stock trades at a big discount to its peers.”

Margins squeeze

Analysts said that while Altice USA slashed costs and sought acquisition opportunities, it failed to invest sufficiently in its network and service, causing customers to exit en masse.

Although revenue from mobile customers has increased considerably for rivals over the past year, this has not happened for Altice. It added a mere 5,000 wireless subscribers in the fourth quarter of 2021, taking its total to 186,000. Charter, by contrast, added 363,000 and Comcast 312,000.

Investors are also uneasy about Altice’s exceptionally high debt burden at a time when interest rates are set to rise. Net debt sits at around 6 times earnings before interest, tax, depreciation and amortisation, according to S&P Capital IQ, compared to Charter, which is running at 4.5 times, and is already considered a heavily leveraged company. Altice USA had $24.4bn of net debt on its balance sheet at the end of last year, while Altice France and Altice International had €31bn between them.

Most of the debt is well termed out, with no bonds greater than $1bn maturing before 2025, meaning the company does not face imminent liquidity problems. Nonetheless, given the company’s net income fell nearly 30 per cent to $252mn in the last quarter, it will be under pressure to reduce its leverage.

Dexter Goei, Altice USA’s chief executive conceded on a recent Morgan Stanley call that it was considering whether to space out payments on $1bn that had been borrowed from its revolving credit facility.

“When you pair financial leverage and the fibre build with fear around the future, that just makes it a more challenging profile for people to get their arms around,” said Nicole Abernethy, a fund manager at Fidelity Investments, which has slashed its stake in Altice over the past two years across a range of portfolios.

For Moffett, the issues with Altice USA speak to the limitations of Drahi’s ruthless cost-cutting strategy at the outset. “Longer term, they weakened the company and now they’re in clean-up mode,” he said. “We grossly overestimated the market’s willingness to underwrite [Altice’s] turn-around.”

Can fibre fix it?

The question now is whether Altice’s full-throttle fibre build will be enough to transform its fortunes.

While almost all other cable companies in the US — Comcast, Charter and Cox — are opting to stick with upgrades to their copper networks, Altice USA is overlaying all of its existing network with state-of-the-art fibre, which uses tiny threads of glass to carry modulated light along the same underground pathways, increasing the quantity of data that can be transported.

This year, the company announced its aim to reach 6.5mn homes by 2025, costing $1.8bn in capex in 2022 alone.

Altice said in a statement: “We are confident in our growth strategy, which is focused on accelerating the deployment of our fibre network as well as enhancements in our products and overall customer experience, and remain optimistic that by advancing these initiatives we will drive long-term sustainable growth and value for our customers and shareholders.”

But the company faces stiff competition from telecoms groups that are rolling out fibre quickly, most notably Verizon’s Fios, which overlaps with Altice’s footprint in the crucial New York area, among other states.

Abernethy noted that the market may be questioning whether Altice would be able to grow against a “formidable fibre competitor” in Verizon, which had been “very heavily invested in a good consumer experience and a high-quality offering”.

“Altice could be an interesting story but it’s a show-me story at this stage,” she said.

Still, few believe a successful fibre rollout is where Altice’s ambitions end. Rumours have circulated for months that Drahi will aim to take the company private by buying shares up cheaply. But Goei has been unequivocal that a take-private is on the “backburner”, and is “not a subject for today”.


Yet others believe Drahi still dreams of swallowing a bigger fish. That is, if the company’s depressed valuation doesn’t turn it from predator into prey.

An investor noted that: “Charter has a hole in its footprint in the US — that’s Altice.” Comcast could also be interested, although for both companies, regulatory approval would probably be difficult to obtain.

He added: “Unless you believe that someone comes in and buys it or Patrick Drahi takes it private with a premium, I struggle to see why you would own it over the next 12-24 months.”

Le cours de l'action Altice USA a bondi aujourd'hui de 30%, suite à des rumeurs de vente de Suddenlink, la principale branche d'Altice USA, qui pourrait se faire à 20 milliards de dollars, selon ce qui est rapporté.

.    Altice USA stock (NYSE:ATUS) has suddenly jumped 26.5% as Bloomberg reports the cableco is exploring a sale of southern U.S. division Suddenlink.

.    The stock had been halted for volatility but then resumed trading. Updated 12:29 p.m.: Another volatility halt.

.    A sale of the unit could bring up to $20B, according to the report. Suddenlink has about $1.3B in EBITDA.

.    Altice USA (ATUS) is working with Goldman Sachs on the sale exploration, according to the report.

.    A sale could make a massive dent in a pile of debt that surpasses $25B.

.    Updated 12:38 p.m.: ATUS is up 25% after resuming trading a second time.

Donc finalement, ce n'est pas une sortie de la bourse, mais une vente de Suddenlink qui porrait se dessiner, l'action Altice USA se trainant ces derniers temps autour de 9$, après avoir été introduite en 2017 à 34$. Ce serait la première fois qu'Altice vendrait un de ses gros opérateurs.

Ce n'est pas la première fois qu'il y a des rumeurs de vente d'un opérateur par Altice, on peut penser à Altice République Dominicaine ou plus récemment à Altice Portugal, où Altice confie une mission d'exploration à une banque, et finalement le prix demandé ar Altice, très important, ne trouve aucun acquéreur, et finalement la vente ne se fait pas. Le soufflet pourrait donc rapidement dégonfler.

Hier, lors de la présentation des résultats d'Altice USA pour le T2, son président, Dexter Goei, a confirmé aux investisseurs qu'Altice étudiait une éventuelle vente de Suddenkink. Sans en dire plus. Du coup l'action, qui avait replongé après la rumeur précédente de vente de Bloomberg, parce que les investisseurs ne voyaient rien venir de concret, et qu'Altice USA aavit entrepris de rassembler sous la même marque Optimum ses deux filiales, la newyorkaise Optimum, et celle du Sud, Suddenlink, ce qui ne faisait pas penser à une vente de cette dernière, a repris 20% d'un coup.

L'agence Bloomberg avait révélé en juillet que le groupe de Patrick Drahi étudiait avec l'aide de Goldman Sachs la vente de Suddenlink pour la somme considérable de 20 milliards de dollars, soit plus de quinze fois l'excédent brut d'exploitation de cette division, selon les analystes de MoffettNathanson.

Et -85% depuis son introduction en bourse en 2017 à 34$. L'action est descendue à son plus bas historique, à 5.21$ hier, et pourrait descendre prochainement sous les 5$. Les actionnaires ont cessé de croire semble-t-il à une vente de Suddenlink, ils ne voient rien venir depuis la confirmation par Dexter Goei fin Juillet lors de la présentation des résultats, que c'était une option qu'ils envisageaient bien. En tout cas, ils ne croient plus à une vente à 20 milliards de dollars, peut-être plus à une vente par bouchées (peacemeal), mais qui ne rapporterait pas autant. Et ils ne voient pas non plus arriver une sortie de la bourse par Altice... Et Dexter Goei lui-même retourne en Europe, et un nouveau CEO a été nommé le 7 Setptembre, Dennis Mathew. La capitalisation boursière est descendue à ~2.4 milliards de dollars.

L'action Altice USA a chuté de 30% aujourd'hui, après la publication de ses résultats du T3 hier, qui ont déçu les actionnaires. La cotation a même été interrompue un moment devant l'afflux des ordres de vente. L'action avait remonté aux environs de 6.5$ ces derniers jours dans l'attente de la publication. Altice USA a en effet perdu encore des abonnés, 43k, malgré le gain de 31k abonnés FTTH. Son résultat net a chuté des deux tiers par rapport au même trimestre de l'an dernier, à 85 millions de dollars contre 267 millions. Ses revenus ont chuté de 7%, son "Adjusted EBITDA" de 18%. Et les investissements dans la déploiement de a fibre continuent à inquiéter par leur montant (Altice USA a annoncé hier qu'il dépenserait entre 1.7 et 1.8 milliards de dollars pour cela en 2022, pour 1.9 millions de lignes déployées jusqu'ici).

D'un autre côté, ces actionnaires ne voient toujours pas arriver un retrait de la bourse, avec une surcote qui revaloriserait leurs actions, ou une vente de Suddenlink. Et par ailleurs la dette est toujours important (x6 l'EBITDA), et les taux d'intérêt ont beaucoup augmenté aux Etats-Unis.

Depuis son introduction en bourse en Juin 2017, l'action a chuté de 87%, de 34$ à 4.4$...

Altice USA’s shares dropped more than 20% and trading in the stock was briefly halted Thursday, after the company posted a weak earnings report.

The company, which provides broadband, cable-TV, wireless and phone services, saw its shares sink following Wednesday’s earnings report that net income and revenue fell as Altice lost subscribers and continued to spend significantly on the rollout of its fiber network.

Altice’s net income for the third quarter fell to $85 million from about $267 million compared to the same period last year. Earnings per share on a diluted basis fell to 19 cents from 58 cents last year.

The company’s revenue fell 7% to $2.39 billion, due to the decline in residential and business services customers. Adjusted earnings before interest, taxes, depreciation and amortization fell 18% to $954.4 million compared with the prior year.

Altice said it lost 43,000 broadband customers during the quarter, as well as 82,000 cable-TV subscribers.

On top of this, Altice has been spending heftily to deploy a fiber network for its broadband customers. The company said Wednesday it would spend between $1.7 billion and $1.8 billion in capital expenses in the 2022 fiscal year.

Maintenant, déployer la fibre est certainement une bonne stratégie sur le long terme, mais à moyen terme, vu la charge de la dette, et le montant de l'investissement, cela diminue fortement les résultats de l'entreprise...

Altice USA annonce aujourd'hui qu'il renonce à la vente de Suddenlink. Les 20 milliards de dollars espérés de la vente s'envolent. Les actionnaires perdent l'espoir de revaloriser leur participation à l'occasion de cette vente. L'action baisse encore de 10% à cette heure, à 4.10$. La valorisation boursière est de 1.9 milliards de dollars.

Au vu de la tendance de la baisse, l'action serait à 0 dans 6 mois. Je pense qu'Altice n'aura d'autre choix que de retirer Altice USA de la bourse, de le "privatiser" comme disent les américains. Mais il faudra quand même donner une plus value aux actionnaires, donc débourser probablement de l'ordre de 4 milliards de dollars (valeur en Août). Même si c'est une affaire par rapport à la valorisation l'introduction, environ 15 milliards de dollars, cela reste une somme à sortir.

Et probablement pour Patrick Drahi, très fier à l'introduction à Wall Street, qui représentait le sommet de sa carrière, ce serait ressenti comme un échec.

Je ne serai pas surpris qu'il y ait quand même une annonce sur la sortie de la bourse dans les jours à venir.

Altice n'a toujours pas retiré sa filiale américaine de la bourse, bien qu'elle se trainait ces derniers jours à moins de 2 € l'action (1.83 € hier), et que sa valorisation était tombée à moins de 1 milliards de dollars (contre 16 à son introduction en 2017).

Mais l'action a fait ce soir un bond spectaculaire d'environ 50%, Bloomberg ayant sorti une rumeur disant que le géant Charters envisageait de le racheter, voir ci-dessous CNBC :

is considering buying the broadband company.

Charter is working with financial advisors as it considers whether it would make sense to buy Altice USA, Bloomberg reported Monday, citing people with knowledge of the matter. It is unclear if Charter has made a formal approach, the outlet added.

The larger company’s shares dropped nearly 2% on Monday afternoon.

Charter declined to comment on the report, while Altice USA could not immediately be reached for comment.

The deal would bring significant consolidation at a time when major communications companies struggle to keep broadband and cable subscribers. Altice USA shares had plunged more than 40% this year before their jump Monday, while Charter’s stock has fallen about 25%.

Altice USA owns brands led by broadband, TV and phone company Optimum. The company has about 5 million customers.

Charter easily trumps its size with 32 million broadband and cable subscribers.

Donc rien de fait, une rumeur, mais a donné du baume au coeur des actionnaires d'Altice, qui attendaient un espoir de la sorte.
